4. Product Information

4.1 Specifications

We make every effort to ensure product information on our website is accurate. However, specifications may vary slightly due to manufacturing tolerances. Final product specifications will be confirmed in your order contract.

4.2 Samples

We provide free samples (A4 size) for evaluation purposes. Customers are responsible for shipping costs. Samples represent typical product quality; actual bulk orders may show minor variations within acceptable tolerances.

4.3 Customization

Custom products (colors, textures, thickness, backing materials) are manufactured according to your specifications. Custom orders are non-refundable once production begins, except in cases of manufacturing defects.

5. Ordering and Payment

5.1 Quotations

Quotations are valid for 30 days from the date of issue, unless otherwise specified. Prices are subject to change based on raw material costs and exchange rates.

5.2 Minimum Order Quantity (MOQ)

Standard MOQ: 500 meters per specification. Custom orders may have different MOQ requirements, which will be communicated during the quotation process.

5.3 Payment Terms

• • Standard: 30% deposit upon order confirmation, 70% balance before shipment
• • Payment methods: T/T (bank transfer), PayPal, L/C (Letter of Credit)
• • Payment terms may be negotiated for long-term partners

5.4 Lead Time

Standard products: 7-10 working days after order confirmation and deposit receipt. Custom orders: 10-15 working days. Lead times are estimates and may vary based on order volume and production schedule.

6. Shipping and Delivery

6.1 Shipping Terms

Shipping terms (FOB, CIF, EXW, etc.) will be specified in your order contract. Risk of loss transfers according to applicable Incoterms.

6.2 Delivery Delays

We strive to meet agreed delivery dates. However, delivery times may be affected by factors beyond our control, including customs clearance, shipping delays, force majeure events, or production constraints. We will notify you promptly of any delays.

7. Quality and Warranty

7.1 Quality Standards

All products are manufactured according to ISO 10993 biocompatibility standards and comply with relevant certifications (REACH, PAHs, FDA, EN 13773 Class 4 as applicable).

7.2 Warranty

We provide a 12-month warranty from the date of delivery against manufacturing defects. The warranty covers:

• • Non-conformance with agreed specifications

The warranty does not cover damage from improper handling, storage, or use beyond product specifications.

7.3 Claims

Quality claims must be submitted within 30 days of receiving the goods, with supporting documentation and photographs. We will investigate and respond within 7 working days.

8. Intellectual Property

All content on this website, including text, images, logos, and technical data, is the property of TOPSUN or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, TOPSUN shall not be liable for:

• • Damages resulting from misuse of products or failure to follow specifications

Our total liability shall not exceed the value of the specific order giving rise to the claim.

10. Force Majeure

TOPSUN shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, strikes, government actions, or supply chain disruptions.

11. Export Compliance and Trade Sanctions

11.1 Compliance with Laws: Customer agrees to comply with all applicable export control laws, trade sanctions, and economic sanctions regulations, including but not limited to those administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, and the United Nations.

11.2 Restricted Parties: Customer represents and warrants that neither they nor any of their affiliates, directors, officers, or beneficial owners are: (a) listed on any sanctions or restricted party lists (including OFAC's Specially Designated Nationals List, the EU Consolidated List, or similar); (b) located, organized, or resident in any country or region subject to comprehensive sanctions embargoes; or (c) engaged in activities that would violate applicable trade sanctions.

11.3 Prohibited End Uses: Customer agrees not to use TOPSUN products in connection with: (a) weapons of mass destruction programs; (b) military applications that would violate international law; (c) human rights violations; or (d) any activity prohibited by applicable export control laws.

11.4 Notification Obligation: Customer shall immediately notify TOPSUN if any export control or sanctions concern arises regarding their order, including changes in ownership, control, or restricted party status.

11.5 Indemnification: Customer shall indemnify and hold TOPSUN harmless from any losses, damages, or penalties arising from Customer's violation of export control or sanctions regulations.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during business transactions. This includes pricing, technical specifications, business strategies, and customer information.

12. Governing Law and Dispute Resolution

These terms shall be governed by the laws of the People's Republic of China. Any disputes arising from these terms or our business relationship shall be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to arbitration in Dongguan, China.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website after changes constitutes acceptance of the new terms.

14. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
